CERIFI TERMS OF USE FOR CPEDGE

The CeriFi Website is provided by CeriFi, LLC (“CeriFi” or “We” or “Us” or “Our”), a Leeds Equity Partners portfolio company, headquartered in Alpharetta, Georgia.  For the purposes of these Terms of Use, the terms “Website” or “Websites” shall refer to www.cerifi.com and/or to https://cerificpedge.com and all subdomains thereof (along with any content, services, products or materials made available through the Website).

We provide the Website to you subject to these Terms of Use (“Terms”), which may be updated by Us from time to time pursuant to Section 1. By accessing and using the Website, you accept and agree to be bound by these Terms. If you do not agree to these Terms, you should not access or use the Website.

In addition, when accessing the Website, you shall be subject to any posted guidelines or rules applicable to the Website, which may be posted and modified from time to time. All such guidelines or rules are hereby incorporated by reference into these Terms.

If you are an authorized user of one of Our products and services which We market for subscription on Our Website (Our “Services”), your access and use of the Services will be governed by the applicable agreement between you and/or your organization and CeriFi (“Services Order Form”) with respect to the Services. In the event of a conflict between these Terms and the applicable Services Order Form, the terms of Services Order Form shall prevail with respect to your access and use of the Services.

1.     Changes to Terms

These Terms, or any part thereof, may be modified by CeriFi, including the addition or removal of terms at any time, and such modifications, additions, or deletions will be effective immediately upon posting. Your use of the Website after such posting shall be deemed to constitute acceptance by you of such modifications, additions, or deletions.

2.     Changes to Website

We may modify, change or discontinue any aspect, service, or features of the Website at any time, with or without notice, including but not limited to content, availability, and equipment needed for access or use. If any part of the Website is modified, discontinued or if a technical error occurs, information, data or content (both created by you or provided to you) in connection to the Website may become inaccessible or deleted. As such, you agree not to exclusively rely on the Website to store or preserve such information, date or content.

3.     Electronic Communications

When you visit the Website or send e-mails to us, you are communicating with Us electronically and you consent to receive communications from Us electronically. We will communicate with you by e-mail or by posting notices on this site. 5.     User Accounts and Security

If any of the services require you to open an account, you must complete the registration process by providing Us with current, complete, and accurate information. You must provide truthful information; do not attempt to impersonate anyone else when you create your account. You represent and warrant that all information submitted in connection with registration is complete and accurate. We may reject the information you provide to Us or require you to update or provide additional information to complete registration. As part of the registration process, you also will choose a password. You are entirely responsible for maintaining the confidentiality of your password and account. Furthermore, you are entirely responsible for all activities that occur under your account. You agree to notify CeriFi immediately of any unauthorized use of your account or any other breach of security. We will not be liable for any loss that you may incur because of someone else using your password or account, either with or without your knowledge. However, you could be held liable for losses or harm incurred by CeriFi or another party due to someone else using your account or password. You may not use anyone else’s account at any time.

6.     User Content Guidelines

You must comply with all applicable laws, rules, and regulations while using or accessing the Website. Your use of the Website is conditioned upon your continued compliance with the terms in this section. Further,the following terms apply to your conduct when accessing or using the Website. You agree not to:

(a) interfere with or disrupt the Website or the servers or networks connected to the Website, or disobey any requirements, procedures, policies or regulations of networks connected to the Website;

(b) license, sublicense, transfer, reproduce, duplicate, copy, sell, resell, exploit for any commercial purpose, distribute or otherwise make available any portion of the Website, use of the Website, or access to the Website;

(c) modify, adapt, make derivative works of, translate, reverse engineer, decompile, or disassemble the Website or any information therein;

(g) distribute or otherwise make available any product, material or service that was developed, in whole or in part, through the use of any content or information from the Website in violation of these Terms;

(h)engage in any activity that would constitute a criminal offense or give rise to a civil liability;

(i) impersonate any person or entity, including, but not limited to, CeriFi employee, affiliate, agent, or contractor, or falsely state or otherwise misrepresent your affiliation with any person or entity; and

(j) interfere with any other user’s right to privacy, including by harvesting or collecting personally-identifiable information about users of the Website or posting private information about a third party.

7.     Privacy Policy

Any personal information or other information about you collected by CeriFi through, or in connection with, the Website is subject to Our Privacy Policy, which is incorporated here by this reference. The Website is designed for adults of legal age (18 years and over). For questions about Our online privacy policy please refer to the Policy that is located at http://www.cerifi.com/privacy-policy.

8.     Suggestions

If you submit comments, photos and other content to Us (“Customer Content”) including but not limited to suggestions, ideas, enhancement requests, feedback, recommendations or other information through the Website, social media communities, survey responses, email or otherwise, you grant Us a royalty-free, worldwide, perpetual, transferable license to use, modify, publish or incorporate into the Website, in whole or in part, in any format and on any platform either now known or hereinafter invented, and to associate User Content with your name and/or likeness. You represents and warrant that you have all rights necessary to provide any and all Customer Content that you may make available to CeriFi.

9.     Intellectual Property Rights and Trademarks

All content and functionality of the Website including all text, graphics, photographs, trademarks, logos, icons, user interfaces, sounds, music, videos, artwork, software, and computer code (collectively, “Content”), including but not limited to the “look and feel”, layout, design, structure, color scheme, selection, combination, and arrangement of the Content present on the Website is owned by or licensed to Us. Such Content is protected by United States and international copyright laws. CeriFi and its licensors retain all proprietary rights to the Content. The Content may not be reproduced, transmitted, or distributed without the prior written consent of CeriFi. Trade names, trademarks, and service marks on or included within the Website or Content (collectively, the “Marks”) that are registered and unregistered Marks of CeriFi, subsidiaries, licensors, or third party providers.  All of these Marks are the property of their respective owners.  Nothing contained in the Website, Content or in any of the programs or services should be construed as granting, by implication, estoppel, or otherwise, any license or right to use any Mark without the express written consent of the owner. 

10.  License and Site Access

Subject to your continued compliance with these Terms and for as long as you are permitted by CeriFi to access the Website, CeriFi grants you a limited, non-exclusive, revocable, non-transferable, non-sublicensable license to access and use the Website solely for your personal, non-commercial use. You acknowledge and agree that any reference may to “sale” or “purchase” is for convenience and relates solely to acquiring a license to access and use the Website. This license confers no title or ownership to you.  You may not use any meta tags or any other “hidden text” utilizing CeriFi’s name or mark without the express written consent of CeriFi. Any unauthorized use terminates the license granted by CeriFi.

11.  Disclaimer of Warranties and Limitation of Liability

(A) YOU EXPRESSLY AGREE THAT USE OF THE WEBSITE IS AT YOUR SOLE RISK. THE WEBSITE AND ANY SERVICES OR PRODUCTS ARE PROVIDED AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT ANY REPRESENTATIONS OR WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED OR STATUTORY. CERIFI DOES NOT NOR DOES ANY OF THEIR RESPECTIVE EMPLOYEES, AGENTS, THIRD-PARTY CONTENT PROVIDERS, THIRD-PARTY SERVICE PROVIDERS, OR LICENSORS WARRANT THAT USE OF THE WEBSITE WILL BE UNINTERRUPTED OR ERROR FREE; NOR IS THERE ANY WARRANTY AS TO THE RESULTS THAT MAY BE OBTAINED FROM USE OF THE WEBSITE, NOR  THE ACCURACY, RELIABILITY, OR CONTENT OF ANY INFORMATION, SERVICE, OR MERCHANDISE PROVIDED THROUGH THE WEBSITE.

(B) TO THE FULLEST EXTENT PERMISSIBLE BY APPLICABLE LAW, IN NO EVENT SHALL CERIFI, OR ITS FUTURE PARENT OR AFFILIATED COMPANIES, BE LIABLE TO YOU FOR ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, PUNITIVE, OR EXAMPLARY DAMAGES OF ANY KIND, UNDER ANY CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHER THEORY, INCLUDING DAMAGES FOR LOSS OF PROFITS, USE, DATA, OR LOSS OF OTHER INTANGIBLES,  EVEN IF ADVISED IN ADVANCE OF SUCH DAMAGES OR LOSSES. YOUR SOLE AND EXCLUSIVE REMEDY FOR DISSATISFACTION WITH THE SERVICES IS TO STOP USING THE SERVICES. IN NO EVENT WILL CERIFI’S AGGREGATE LIABILITY, WHETHER IN CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY OR UNDER ANY OTHER THEORY OF LIABILITY, EXCEED THE TOTAL AMOUNTS PAID BY YOU TO CERIFI IN THE TWELVE MONTHS (12) PRECEDING THE INCIDENT RESULTING IN SUCH DAMAGE, LOSS, OR CAUSE OF ACTION.

(C) The content provided through or in connection with the website is designed to provide general information on the subject matter covered.  WHILE SUCH CONTENT MAY CONCERN ISSUES RELATED TO PROFESSIONAL SERVICES, SUCH CONTENT IS NOT LEGAL ADVICE, ACCOUNTING ADVICE, OR OTHER PROFESSIONAL SERVICES ADVICE.  YOU SHOULD NOT ACT OR REFRAIN FROM ACTING ON THE BASIS OF ANY CONTENT PROVIDED ON OR IN CONNECTION WITH THE WEBSITE WITHOUT SEEKING THE ADVICE OF A COMPETENT PROFESSIONAL IN THE APPLICABLE SUBJECT MATTER AND/OR APPLICABLE JURISDICTION.  CERIFI EXPRESSLY DISCLAIMS ALL LIABILITY IN RESPECT OF ACTIONS TAKEN OR NOT TAKEN BASED ON ANY CONTENT PROVIDED ON OR IN CONNECTION WITH THE WEBSITE.

12.  Indemnification

You agree to defend, indemnify, and hold harmless CeriFi, its affiliates, and their respective directors, officers, employees, and agents from and against all claims and expenses, including attorneys’ fees, arising out of or relating to (a) your use of the Website; or (b) any violation of alleged violation of these Terms by you. CeriFi reserves the right to take over the exclusive defense of any claim for which we are entitled to indemnification under this section. In such event, you shall provide CeriFi with such cooperation as is reasonably requested by CeriFi.

13.  Termination

CeriFi may terminate your access to or use of the Website or services, at any time for any reason, including if CeriFi believes, in its sole discretion, that you have violated or acted inconsistently with these Terms. Upon termination, your right to access or use the Website or services will cease immediately. Termination of your access or use of the Website or services may occur without prior notice. Upon termination, CeriFi may deactivate or delete your password and user name, related information and files associated with it, and/or bar further access to such information or files. You agree that Cerifi will not be liable to you or any third party for any termination of your access to the Website or services or to any such information or files, and will not be required to make any such information or files available to you after termination.

14.  Availability

You acknowledges and agrees that the availability of the Website is subject to the availability of connection services to and within the internet and to other network functions within and around the internet and that the internet, by its nature, is not fault-tolerant. The Website may be affected by a variety of factors, such as your location, the content being streamed or downloaded, and the speed of your internet connection.  CeriFi makes no representation or warranty regarding access to content available through or in connection with Our Website.

15.  Governing Law

These Terms are governed by and construed in accordance with the laws of Georgia, without giving effect to its principles of conflicts of law. Any and all disputes, claims, and controversies arising out of or in connection with your access to, and/or use of the Websites, and/or the provision of content, services, and/or technology on or through the Websites shall be brought by either Party in a court of competent jurisdiction located in Fulton County, Georgia, and each Party hereby waives any defenses it may have before such courts based on a lack of personal jurisdiction or inconvenient forum. Each Party hereby expressly and irrevocably waives the right to a jury trial.
